Terms of Service

TrainEasy (including its various affiliates and subsidiaries, “TrainEasy”) provides a Learning Management System (LMS) Software-as-a-Service (SaaS) platform, including tools for course creation, student management, and online training delivery (collectively, the “Services”). The following are the terms and conditions for use of the Services (the “Terms”). You agree that you have read, understand, and have the capacity to be bound by these Terms.

  1. Services and Terms

1.1 The Services are provided subject to these Terms and any operating policies published by TrainEasy. TrainEasy may modify this Agreement at any time, effective immediately upon posting the updated version to TrainEasy.net or via email notification.

1.2 The Services are available only to persons who can form legally binding contracts. The Services are not available to individuals under the age of 18.

1.3 "As Is" Service Nature: The Services are provided on an "as is" and "as available" basis. While TrainEasy encourages customer feedback and feature requests, TrainEasy does not guarantee the implementation of any specific changes, updates, or customizations to the source code to provide functionality other than what currently exists.

1.4 Customer is responsible for maintaining account security and for all uses of the account in Customer's name. TrainEasy reserves the right to refuse or cancel accounts deemed inappropriate.

2. Restrictions and Responsibilities

2.1 Customer is granted a right to use the Services; no license to the underlying software is granted. Customer will not reverse engineer, decompile, or attempt to discover the source code of the Services.

2.2 Customer warrants that the Services will be used only in compliance with all applicable laws, including those regarding intellectual property, privacy, and data protection.

2.3 Customer acknowledges that TrainEasy owns all intellectual property rights in the platform. Customer's use of the platform does not grant any ownership interest in the Proprietary Information.

3. Resource Allocations and Restrictions

3.1 Plan-Based Limits: Resources, including but not limited to disk space, bandwidth, number of students, and course limits, are provided strictly based on the specific subscription plan purchased by the Customer.

3.2 No Unlimited Resources: TrainEasy does not offer "unlimited" resources. Once a Customer reaches the allocation limit defined in their plan, they must upgrade to a higher tier to continue adding data or users. TrainEasy reserves the right to suspend or limit accounts that exceed their allocated resources until an upgrade is processed.

3.3 Data Storage: The platform is intended for active LMS use. Using the account as an online storage or archival space for files unrelated to training delivery is prohibited.

4. Fees, Payment, and Refunds

4.1 Non-Refundable: All fees paid to TrainEasy are PREPAID and NON-REFUNDABLE. TrainEasy does not provide refunds or credits for partial months of service or for unused periods upon cancellation.

4.2 Unpaid Accounts: Accounts that are past due over 30 days will be automatically suspended and may be deleted, including all hosted data, at TrainEasy's discretion.

4.3 Upgrades and Downgrades: Upgrades take effect immediately with a pro-rated charge. Downgrades take effect at the start of the next billing cycle; no credits are issued for the remainder of the current term.

5. Prohibited Practices

5.1 Customer may not use the Services to host or distribute illegal content, including pirated materials, malware, or unauthorized private information.

5.2 TrainEasy reserves the right to terminate access for any behavior that is deemed harmful to the system’s integrity or reputation.

6. Warranty Disclaimer and Limitation of Liability

6.1 TRAINEASY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

6.2 IN NO EVENT SHALL TRAINEASY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICES.

7. Governing Law

7.1 These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts located in Lagos, Nigeria.
